M&A Advisory
For transactions that define what comes next.
Apirion advises insurers, investors and owners across the full insurance M&A cycle. We combine deep insurance expertise, live market intelligence and deal-making discipline to understand the business, read the other side and carry each transaction towards the right outcome. Our roots lie in working with owner-led insurance businesses, particularly brokers and MGAs. Standing alongside their owners remains a defining focus and gives our work much of its purpose.

Why
We bring judgement to the deal, not just process.
Transactions differ. So does what good advice requires of them. The Apirion team brings decades of experience across the insurance M&A cycle. We have worked with boardrooms, private equity deal teams and owners of brokerages, MGAs and insurance service businesses at moments that shape what comes next.
That breadth changes where our work begins. We arrive with an informed view of the market, the economics and how the other side is likely to read the deal. Proprietary market intelligence keeps that view current. Deep access to buyers, sellers and the wider European insurance M&A ecosystem sets us apart.
The role may change with the transaction. The standard does not: senior judgement, deal-making discipline and a position firmly on the client’s side of the table. AI supports that model in the background, keeping the focus on what creates value.
What
Across the M&A cycle, from first move to final outcome.
01
Sell-Side Advisory
We shape the equity story around the value drivers that matter in insurance, create competitive tension and get the deal done, whether as lead advisor or co-advisor.
02
Buy-Side & Partnerships
We help define where to play, identify the right targets, portfolios or partners, and carry the deal through execution, as lead advisor or commercial sparring partner.
03
Commercial Due Diligence
We look beyond the CIM and test the commercial case, from commission pools and sales velocity to portfolio economics, and uncover value creation opportunities beyond the obvious.
04
Exit Readiness & Value Creation
We prepare the business before buyers enter the room, creating value early across portfolio, distribution and operating model, and preserving choice over when, how and on what terms to sell.
05
Portfolio Restructuring & Carve-Outs
We reshape insurance portfolios as market conditions, underwriting appetite and strategic priorities change, using sales, transfers and carve-outs to protect value and sharpen focus.
06
Post-Merger Integration
(PMI)
We translate the deal thesis into a clear integration agenda, make the critical dependencies visible and equip leadership to carry it through the organisation
How
Deep in the industry, built for pace and execution.
We start from inside the industry
We understand the business models across the insurance value chain, from carriers and MGAs to brokers, platforms and service businesses. We know how market consolidation and rate cycles, underwriting appetite and capacity, distribution economics and portfolio quality translate into performance and value. That lets us get quickly to the drivers that matter, not just the numbers presented in the materials.
We bring the market into the room
A business is not viewed the same way from every side of the table. We understand how boardrooms, investment committees and owners frame value, risk and strategic fit. Deep relationships with buyers and sellers provide our clients with access and give us a live read on the market. AI is built into how we turn that information into insight, allowing us to move faster and keep the focus on what creates value. Around that, we orchestrate a trusted network across legal, tax, financing, W&I and due diligence, bringing in the right expertise when the transaction calls for it.
We know where to hold the line
Transactions rarely follow the script. Diligence changes the debate, positions move and structure can matter as much as price. We stay close to the points where value can be created or lost, knowing when to push, where to hold the line and what it takes to keep the deal moving. For owners, that judgement often extends beyond valuation to succession, future involvement and what happens to the business after closing.
What this means for owners
Sell-side M&A for owners: Selling what you have built.
A sale is not a single event. It is a sequence that often begins long before a formal process starts, and each stage decides how much value carries into the next. For owners of insurance brokers, MGAs and other businesses across the insurance value chain, it is also deeply personal: a question of timing, succession and what should endure. We work through all of it with you, from the first quiet question to the day the firm changes hands.
1
Transaction objectives and readiness
Before we think about buyers, we start with you. We clarify why you are considering a transaction, what you want it to achieve, and what you want your role and your life to look like afterwards. That means defining not only the financial outcome, but also timing, future involvement, succession, continuity of the firm and what should happen to your people. We also assess whether the business is ready and what should change before going to market. The process starts only once the destination is clear.
2
Preparation and equity story
Before any buyer sees the firm, we shape how it will be seen. We build the equity story: the case for what the firm is worth and why, the quality of its earnings, the strength and retention of its client base, the people who make it run. We work with you on the few things worth improving while there is still time, and we make sure the numbers will hold up under a buyer’s scrutiny. Most of the final outcome is decided here, long before the market is approached.
3
Buyer landscape and approach
We map the buyers who are genuinely right for your firm, trade consolidators, private equity, regional players, and approach them on your terms. A focused, discreet process protects both the price and the firm’s standing while it runs. The right home matters as much as the right number, and a narrow process serves both better than a broad one.
4
Negotiation and competitive tension
We run the conversations and keep more than one credible buyer in play, because a single bidder sets the price and several bidders discover it. We hold the line on the terms that carry value, not only the headline figure but the structure beneath it: earn-outs, warranties, what happens to you and your people after completion.
5
Due diligence and completion
We carry the agreed deal through diligence with its value intact, managing the process so momentum holds and the terms do not erode between handshake and signature. What was agreed in principle is what is signed in the end.

Examples
A global insurer integrating a B2B2C platform
A leading global insurer acquired a pan-European digital P&C platform to strengthen its B2B2C position across core European markets. We helped shape the PMI strategy, translating the deal rationale into a clear integration path while protecting continuity across the partner business and positioning the combined platform for scalable growth.
A private equity creating a buy & build platform
A private equity investor set out to build a consolidation platform in German commercial insurance brokerage. We mapped the market, defined the M&A runway and translated the investment thesis into a clear acquisition strategy. From target logic and sequencing to the platform concept itself, we shaped the value creation logic around multiple arbitrage, commission uplift, cross-selling and operating leverage.
A founder-owned brokerage, sold at succession
The owner had built the firm over three decades and wanted to step back, with no family successor in place. We had known him for years before the decision was made. When it came, we prepared the firm, ran a discreet process with a small set of buyers, and secured a sale that protected both the price and the team he was leaving behind.
